RICHLAND COLLEGE IS MEN AND WOMEN SOCCER TEAMS WON THEIR RESPECTIVE NATIONAL JUNIOR COLLEGIATE ATHLETIC ASSOCIATION DIVISION III NATIONAL CHAMPIONSHIPS ON THE SAME DAY DURING THE NATIONAL TOURNAMENTS IN NOVEMBER.

THIS COMBINED SUCCESS MARKS ONLY THE THIRD TIME IN M.J.C.A.A. DIVISION III HISTORY THAT A SINGLE COLLEGE HAS WON BOTH THE MENS AND WOMENS NATIONAL TITLES IN THE SAME YEAR.

BUT ALL THREE OF THOSE TIMES AND THOSE TITLES WERE WON BY RICHLAND COLLEGE.

>> OUR WOMENS TEAM WON THEIR FOURTH NATIONAL CHAMPIONSHIP IN ROCKFORD, ILLINOIS.

OUR MEN'S TEAM WON THEIR 7H NATIONAL CHAMPIONSHIP IN HERKAMER NEW YORK.

AND ALL SEVEN OF THOSE CHAMPIONSHIPS WERE COACHED BY COACH SEAN WORLEY, SO WHEN HE COMES UP WE MUST MAKE NOTE OF THAT.

THE MENS TEAM ALSO SCORED 6-1 AGAINST NASSAU WHICH WAS THE LARGEST MARGIN OF VICTORY IN A DIVISION III CHAMPIONSHIP MATCH IN N.J.C.A.A. HISTORY.

SO IT WAS A VERY EXCITING TIME FOR THE RICHLAND COLLEGE ATHLETES.

I WOULD LIKE TO ASK FRED KLASSEN TO COME UP.

HE IS OUR DALLAS DIRECTOR FOR ATHLETIC PROGRAMS FOR D.C.C.C.D. AND HE WILL HAVE A FEW WORDS AND I WILL INTRODUCE OUR COACHES.

EVERYBODY IS NEW.

>> WE JUST HAVE SO MANY GOOD-LOOKING ATHLETES IN OUR DISTRICT.

[LAUGHTER]

>> C. COMPTON: NO, BUT I THOUGHT I RECOGNIZED SOME FACES BEING HERE BEFORE.

>> WE WERE AT THE NATIONAL CHAMPIONSHIPS LAST YEAR AND

USED TO BE THE METRO ATHLETIC CONFERENCE BUT THE ATHLETIC COUNCIL AND PRESIDENTS DECIDED WE NEED TO BE MORE ATTACHED TO THE DALLAS COUNTY CMMUNITY COLLEGE, DALLAS COUNTY NAME AND BRAND OR SELF NATIONWIDE WITH THAT SO NOW WE ARE DALLAS NATIONAL ATHLETIC COUNCIL.

I WON'T TAKE BUT A MOMENT BECAUSE I WANT YOU TO SEE THE ATHLETES.

THE ATHLETES YOU WILL SEE TODAY, BOTH MEN AND WOMEN, ARE OUTSTANDING ATHLETES BUT ALSO OUTSTANDING STUDENTS.

PORTION OF THE OVER 700 STUDENT ATHLETES THAT WE HAVE IN ALL OF OUR COLLEGES PARTICIPATE IN ATHLETIC PROGRAMS. AND THEY AREN'T HERE TO GET CAREERS IN PROFESSIONAL SPORTS.

THEY ARE HERE TO GET AN EDUCATION AND TO BUILD A CAREER NOWHERE BETTER TO DO IT THAN THROUGH OUR COLLEGE DISTRICT.

WE APRECIATE YOUR SUPPORT FOR THESE YOUNG MEN AND YOUNG WOMEN AS THEY COME OUT.

AGAIN, WE WILL TURN IT OVER TO THE COACHES AND ALLOW THEM TO TELL YOU ALL ABOUT THE ATHLETES.

BUT AGAIN, I JUST WANTED TO SAY THANK YOU FR THE SUPPORT THAT THE BOARD HAS AND THE UNDERSTANDING OF THE IMPORTANCE OF ATHLETIC PROGRAMS TO OUR COLLEGE DISTRICT TO OUR ATHLETES AND THE DIFFERENCE THE COACHES MAKE, NOT ONLY IN THEIR LIVES AS ATHLETES BUT IN THEIR SUPPORT AND OUR SUPPORT THROUGH THE ATHLETIC PROGRAMS FOR THEIR EDUCATION AND THEIR CAREER GOALS AS WELL.

THANK YOU.

>> CHAIR D. FLORES: ARE YOU READY? ARE YOU READY TO START?

>> IT'S MY HONOR NOW TO INTRODUCE OUR MEN'S SOCCER COACH.

AS YOU HAVE ALREADY HEARD HE HAS WON SEVEN NATIONAL CHAMPIONSHIPS.

HE IS IN THE HALL OF FAME.

WE ARE VERY PROUD OF HIM.

SEAN WORLEY.

>> THANK YOU, GUYS.

THANKS.

I THINK MY FIRST TIME HERE WAS 2002 AND THAT WAS, WHAT 16 YEARS AGO? AND IT GETS BETTER AND BETTER AND BETTER.

YOU KNOW, I GET LUCKY EVERY ONCE IN A WHILE AND THIS YEAR, THIS TEAM THAT WE PUT TOGETHER AT RICHLAND COLLEGE HAS BEEN ONE OF THOSE SPECIAL TEAMS. IT'S BEEN AN EXTRAORDINARY EXPERIENCE.

THE BOYS HAD REALLY STEPPED UP AND MET ALL THEIR GOALS ON THE FIELD.

AND THESE HAVE BEEN, IT'S A TREMENDOUS EXPERIENCE FOR ALL INVOLVED.

WE ARE PROUD THAT WE ARE THE NUMBER ONE TEAM IN THE COUNTRY.

WE PLAY TEAMS FROM CALIFORNIA.

WE PLAY TEAMS FROM MINNESOTA, WE PLAY TEAMS FROM MICHIGAN, NEW YORK, NEW JERSEY, KANSAS.

WE HAVE PRETTY MUCH COVERED THE WHOLE U.S.

I AM PROUD TO SAY THESE BOYS HAVE LIVED UP TO EVERY EXPECTATION ON THE FIELD AS WELL AS IN THE CLASSROOM.

IT'S ONLY NOW I GET TO REFLECT ON THE SEASON THIS HAS BEEN PROBABLY THE BEST.

IF A COACH CAN EVER SAY THERE'S A "BEST TEAM" THIS IS PROBABLY ONE OF THEM.

OUR 2018 MEN'S TEAM HAS DEFINITELY REACHED THAT PLATEAU OF BEING OUR BEST TEAM AT RICHLAND COLLEGE I HAVE HAD IN MY 23 YEARS COACHING.

JUST TO GIVE YOU A GOOD EXAMPLE.

FIVE GAMES IN OUR PLAYOFFS, SUPPOSED TO REPRESENT THE TOP TEAMS. WE SCORED 24 GOALS AND GAVE UP FOUR.

THAT'S PRETTY MUCH UNHEARD OF.

3-0, 4-0, 7-3, 6-1, 4-0 AGAIN.

[00:20:03]

IT WAS SOMETHING THAT A COACH CAN'T EXPLAIN, IT JUST HAPPENS.

WE ARE LUCKY TO B IN A GREAT AREA.

WE HAVE A GREAT COMBINATION OF STUDENT ATHLETES FROM LOCAL DALLAS BOYS TO PEOPLE FROM, STUDENTS FROM EL PASO, HOUSTON, SAN ANTONIO, LAREDO.

WE HAVE A TREMENDOUS E.S.L.

PROGRAM, OUR MULTICULTURAL CENTER WORKS WITH US.

GETTING OUR INTERNATIONAL STUDENTS THE BEST POSSIBLE WAY TO GET INTO RICHLAND AS WELL AS SUCCEED ON AND OFF THE FIELD.

AND THAT COMBINATION OF STUDENT ATHLETES IS DIVERSE BUT WE START IN THE BEGINNING OF THE SEASON GETTING TO KNOW EACH OTHER.

AT THE END OF THE SEASON WE ARE LIKE A FAMILY.

I JUST WANT TO THANK YOU GUYS, THANK THE BOARD, FOR EVERYTHING YOU HAVE DONE TO SUPPORT US.

BECAUSE THIS HAS BEEN A LIFE-CHANGING EXPERIENCE.

I'VE SEEN IT, THAT EXPERIENCE, THE ONE THING I DO FOLLOW IS THE ALUMNI.

WE HAVE A BIG PUSH TO GET OUR ALUMNI INVOLVED IN THE DISTRICT.

ON THE FIELD SINCE 2002 WE HAVE COME BACK AND WE HAVE HAD A GOOD ALUMNI BASE.

WE HAVE TEACHERS, FIREMEN, POLICE OFFICERS, PROBATION OFFICERS, BUSINESS PEOPLE, SOCCER COACHES, ALL WITHIN OUR D.I.S.D.

ALL WITHIN DALLAS.

THAT'S WONDERFUL ACCOMPLISHMENT FOR OUR PROGRAM.

NOT ONLY ON THE FIELD BUT OFF THE FIELD AND SEEING THE LIFE CHANGES.

I JUST WANT TO THANK YOU GUYS FOR THAT.

ENOUGH OF THAT, LET'S START INTRODUCING OUR PLAYERS.

SERGIO GONZALEZ.

FERNANDO ZAMORA, PEDRO TAVARES, LYNNE COX.

JUAN -- RAFAEL DOMINGUEZ.

TOY YAMAOKA.

KEVIN RIVES, JACOB GUATEMALA, GABRIEL ROJAS, HECTOR WONG.

TOOTY, WE CALL HIM TOOTY BUT ALBERTO MARIANO FAZIO.

REYES YOGI.

LUCIO MARTINEZ.

OUR TWO ASSISTANT CACHES I CALL HEAD COACHES BECAUSE WITHOUT THEM WE WOULD NOT BE SUCCESSFUL.

THEY MAKE ME LOOK GOOD, TRUST ME.

THEY MAKE ME LOOK GOOD.

JOSE -- RAUL HERERRA WHO HAS BEEN WITH ME NOW EIGHT YEARS.

OUTSTANDING JOB PUTTING THIS TEAM TOGETHER.

THE ONE LAST THING I WILL READ OUT SOME OF OUR AWARDS WHICH WE HAVE PLENTY OF.

FIRST OF ALL, WE HAVE PABLO, OUR GOALKEEPER.

HE HAD A BELOW ONE POINT GOALS AVERAGE AGAINST.

WHOLE SEASON TO SCORE LESS THAN ONE GOAL A GAME IS PRETTY EXTRAORDINARY.

THE ALL DISTRICT M.V.P. A WELL AS THE ALL D.A.C. IN REGION FIVE NUMBER ONE GOALKEEPER.

WE HAD MARIANO FAZIO, D.A.C.

DEFENSIVE M.V.P.

THE ALL WEST N.S.C.A.A. NUMBER ONE ALL-AMERICAN AS WELL AS N.J.A.A.C.

HE IS FIRST TEAM IN BOTH.

WE HAVE HENRY -- SECOND TEAM ALL AMERICAN.

ALSO THE FIRST TEAM, ALL THE OFFENSIVE D.A.C.

WE HAVE LUCIO MARTINEZ WHICH IS WHO IS THE NUMBER ONE PLAYER, THE FIRST TEAM ALL AMERICAN.

N.C.A.A., THE HIGHEST HONOR YOU COULD GET FROM THE WOLE UNITED STATES, INCLUDES CALIFORNIA SCHOOLS.

AND FINALLY WE HAVE JAMES ESSAY WHICH IS OUR M.V.P. OF THE LEAGUE, M.V.P. OF THE TOURNAMENT.

NOMINATED FOR PLAYER OF THE YEAR.

OVER 50 GOALS THESE LAST TWO YEARS WITH US.

THIS WEEK THEY WILL ANNOUNCE

[00:25:03]

THE NATIONAL PLAYER OF THE YEAR WHICH COVERS ALL 50 STATES.

HE IS A FINALIST.

THEY ARE VOTING FR THE FINALIST THIS WEEK AND WE SHOULD KNOW BY THURSDAY.

AGAIN OUR 2018 MEN'S TEAM, I WOULD LIKE TO THANK YOU GUYS.

I WOULD PERSONALLY BECAUSE THE EXPERIENCE THAT WE ARE PROVIDING FOR OUR STUDENT ATHLETES IS EXTRAORDINARY.

I JUST WANT TO THANK YOU GUYS FOR THAT.

THANK YOU SO MUCH.

>> CHAIR D. FLORES: COACH? THANK YOU FOR YOUR PASSION AND ALL YOU DO.

THANK YOU TO YOUR COACHING STAFF AND CONGRATULATIONS TO ALL YOU YOUNG MEN, WE ARE VERY PROUD OF YOU AND THANK YOU FOR THE HONOR YOU BRING TO OUR DISTRICT AND RICHLAND.

>> CHAIR D. FLORES: THAT WAS FUN TO CELEBRATE SO MANY WINNERS IN ONE DAY.

THANK YOU TO ALL WHO MADE IT POSSIBLE.

[A. Chancellor's Updates]

DO WE HAVE ANY CITIZENS DESIRING TO ADDRESS THE BOARD? THANK YOU.

NOW WE MOVE TO COMMENTS FROM CHANCELLOR OR TRUSTEES.

CHANCE LOAR? -- CHANCELLOR?

>> CHANCELLOR J. MAY: THANK YOU, MADAM CHAIR.

WE STARTED WITH THE DALLAS COUNTY PROJECT ABOUT TWO YEARS AGO, NOW WITH OUR THIRD COHORT COMING FORWARD WITH OUR HIGH SCHOOLS AND NOW INTO THE SECOND YEAR OF BEING ABLE TO GRANT PEOPLE A PATHWAY TO A FREE POSTSECONDARY EDUCATION.

WE HAD A GREAT START OF THIS YEAR.

IT'S HARD TO BELIEVE THAT WE HAVE ONLY JUST REALLY BEGAN ADMITTING STUDENTS TO PLEDGE BACK IN JANUARY.

BUT THERE'S BEEN A LOT OF INTEREST FROM AROUND THE STATE AND COUNTRY.

TOMORROW, WE WILL BE CONVENING TOMORROW REPRESENTATIVES FROM COMMUNITY COLLEGES ACROSS THE STATE AT THE UNIVERSITY OF NORTH TEXAS, DALLAS, TO TALK ABOUT THE PROMISE.

WE WILL BE THEREOF COURSE.

BOB MUNG.

LONESTAR COLLEGE IN THE HOUSTON AND TYLER JUNIOR COLLEGE.

THERE ARE OTHER INSTITUTIONS PUTTING THIS INTO PLAY.

IT WILL BE A DAY DISCUSSING HOW THIS WORKS AND PARTICULARLY OUR APPROACH LOOKING AT HOW WE CAN WORK WITH SCHOOLS TO HELP REFORM WHAT THEY ARE DOING.

REMOVE FRICTION FROM THE TRANSITION FROM HIGH SCHOOL TO COLLEGE AND LOOK AT THE WRAPAROUND SERVICES THAT MAKE THIS WORK AND POSSIBLY SHARE SOME OF THE TECHNOLOGY PLATFORMS WE HAVE EITHER PURCHASED OR BUILT OUT TO MAKE THAT HAPPEN.

THAT WILL BE ALL DAY TOMORROW.

ALSO, AS WE CONTINUE TO WORK TO SUPPORT OUR STUDENTS, THERE HAVE BEEN QUESTIONS COME UP

[00:30:01]

FROM TIME TO TIME JUST HOW EFFECTIVE ARE THESE WORKING? WE HAD TO THANK PIPER WILKINS FOR REACHING OUT TO THE GREATER TEXAS FOUNDATION.

ASKING IF THEY WOULD FUND PROVIDE US FNDS TO BRING IN A TEAM TO EVALUATE EVERYTHING WE ARE DOING IN THIS WORK.

THE GREATER TEXAS FOUNDATION STEPPED UP.

WE ARE WORKING WITH SARAH GOLD GOLDRICK.

YOU MAY HAVE HEARD THE NAME, OUT OF UNIVERSITY, WISCONSIN HOPE LAB WHERE WE REALLY LOOKED AT STUDENTS FOOD INSECURITY, HOUSING INSECURITY, TRANSPORTATION AND SOME OTHER CHALLENGES TO GET A SENSE.

WE WILL LOOK AT IT, AND DOCUMENT IT, TO ADVISE US HOW WE CAN IMPROVE OUR WORK GOING FORWARD.

AGAIN, I WANT TO THANK THE FOUNDATION FOR A LEADERSHIP ROLE PARTICIPATING AND GIVING TUESDAY.

THE EFFORT THIS YEAR WAS FOCUSED ON EMERGENCY AID FOR OUR STUDENTS AND IN THAT DAY WE RAISED ABOUT $6,000 TO SUPPORT OUR EFFORTS.

SO THANKS FOR DOING THAT, CERTAINLY, I KNOW OUR STUDENTS WILL APPRECIATE IT.

I DO HAVE ALONG-TERM EMPLOYEE THAT I WANT TO RECOGNIZE.

WE HAVE A RECENT RETIREE HERE, I WOULD LIKE TO RECOGNIZE AND ASK HER TO STAND.

JAMIE TEMPLETON? THERE YOU ARE, JAMIE.

NOW AS IHAVEN'T BEEN HERE THAT LONG I HAVE TO TAKE HER WORD SHE HAS BEEN HERE 35 YEARS WITH THE DISTRICT.

HAS BEEN INSTRUMENTAL IN PROVIDING EXCELLENT SERVICE TO INTERNAL AND EXTERNAL CUSTOMERS.

CONTINUES TO DEMONSTRATE THE SUPPORT AND COLLABORATION WORKING WITH PEOPLE THROUGHOUT THE DISTRICT.

JAMIE STARTED IN 1983 AS AN ASSISTANT TO V.P. OF INSTRUCTION.

IN 1999 SHE BECAME THE APPLICATION SUPPORT MANAGER.

2000 PROJECT MANAGER.

2008 SENIOR PROJECT MANAGER.

ASSISTANT DIRECTOR I.T. FOR APPLICATION DEVELOPMENT AND IS RETIRING AS THE EXECUTIVE DISTRICT DIRECTOR, I.T. E.R.P.

DEVELOPMENT AND SUPPORT.

AND THAT ALL SOUNDS REALLY IMPORTANT.

AND I'M GLAD WE, SO JOIN ME AGAIN IN THANKING JAMIE.

MADAM CHAIR, I THANK YOU VERY MUCH.

THAT CONCLUDES MY COMMENTS.

[B. Chair Updates]

>> CHAIR D. FLORES: THANK YOU FOR THAT RECOGNITION OF OUR SOON-TO-BE RETIREE.

I WAS ALSO GOING TO MAKE NOTE IN THE TALENT REPORTS THERE'S ANOTHER LONG-STANDING FACULTY MEMBER AT EL CENTRO, BENJA ALLEN ALSO RETIRING.

SO FOR ALL THOSE WHO HAVE SERVED IN A FAITHFUL AND DEDICATED MANNER FOR SO MANY YEARS, YOU DESERVE YOUR REST.

AND WE HOPE YOU CERTAINLY ENJOY YOUR RETIREMENT.

IN TERMS OF UPDATES FOR THE BOARD.

ONE HOUSEKEEPING MATTER AND THEN I HAVE A STATEMENT FOR THE RECORD.

ON JANUARY 17TH WE HAD A HALF DAY RETREAT SCHEDULED.

BUT BASED ON THE CONVERSATION IN THE WORK SESSION REGARDING EASTFIELD AND OTHER PLANS THAT WE HAVE IN PLACE, OTHER REPORTS WE HAVE RECEIVED THROUGHOUT THIS PAST YEAR, WE ARE GOING TO HAVE TO MAKE A DECISION PRETTY SOON WHETHER OR NOT WE MOVE FORWARD WITH THE BOND ELECTION.

WHAT THE COMPONENTS OF THAT PROGRAM ARE GOING TO BE.

SO JANUARY 17TH, I'M ASKING FOR IT TO BE A FULL-DAY SESSION FOR THE BOARD.

WE WILL TABLE THE RETREAT ON GOVERNANCE MATTERS.

AND DEDICATE A FULL DAY TO THE BOARD RECEIVING ANY AND ALL INFORMATION THEY WANT ON THE DIFFERENT COMPONENTS OF THE BOND PROGRAM SO THEN WE CAN MAKE A DECISION, DO WE MOVE FORWARD OR NOT.

THAT WILL BE ON JANUARY 17TH.

AND THANK YOU, BOARD MEMBERS FOR CONSIDERING AND HOPEFULLY BEING INVOLVED IN THAT FULL-DAY MEETING.

THE CHANCELLOR SHARED RESOLUTIONS TAKEN BY THE FACULTY COUNCIL.

SO I WOULD LIKE TO MAKE THIS STATEMENT FOR THE BOARD REGARDING CHANGE MANAGEMENT CONSULTING SERVICES WE WILL BE VOTING ON TODAY.

WE KNOW THIS IS A PERIOD OF GREAT CHANGE IN THE DISTRICT.

GREAT CHANGE DESIGNED TO BRING ABOUT OPTIMAL SRVICE LEADING

[00:35:01]

TO OPTIMAL OUTCOMES FOR STUDENTS.

CURRENTLY, THREE OUT OF FIVE RANK AT THE BOTTOM OF PERFORMANCE MEASURES WITH TWO OTHERS RANKING JUST ABOVE BUT NOT BY MUCH.

THIS AFFECTS PART OF OUR FUNDING FROM THE LEGISLATURE.

THIS IS A RANK THAT NONE OF US WANTS OR IS PROUD OF.

WE MUST STRIVE TO MOVE FROM BOTTOM TO TOP.

WE CANNOT IMPROVE IF WE DON'T BRING IN MEASURE CHANGES THAT IMPROVE PROCESSES, PROCEDURES AND POLICIES.

WITH THAT AS CONTEXT, CHANCELLOR MAY SHARES THE RESOLUTIONS PASSED BY THE FACULTY ASSOCIATION REGARDING THE STUDENT CENTRAL NETWORK AND PROPOSED CHANGES TO SUPPORT IT.

IT SEEMS THE FACULTY RESOLUTIONS HAVE TAKEN A FIRM POSITION IN DIRECT OPPOSITION THIS BOARD HAS ASKED THE CHANCELLOR TO TAKE TO ADDRESS MANY ISSUES RAISED IN THE BOSTON CONSULTING GROUP REPORT.

ANY CHANGES MADE WILL BE OVER A PERIOD OF TIME AND WILL CONTINUE TO BE MADE WITH INPUT FROM D.C.C.C.D. STAKEHOLDERS INCLUDING FACULTY, ADMINISTRATION AND STAFF MEMBERS.

HOWEVER, WE SHALL ALL UNDERSTAND THAT CHANGES WILL BE MADE.

THIS IS NOT ABOUT MAKING CHANGE JUST FOR THE SAKE OF DOING SO.

IT'S ABOUT IMPROVING OUT COMES FOR STUDENTS WHO WILL SOON MOVE INTO THE ECONOMY AS WAGE EARNERS.

THIS IS ABOUT PROVIDING A CONSISTENT STUDENT EXPERIENCE FOR STUDENTS NO MATTER WHICH COLLEGE THEY ATTEND.

IT'S ALSO ABOUT BRINGING EQUITY TO ISSUES SUCH AS FACULTY-FORMULA PAY.

WHICH WE HAVE ALL SEEN HAS VARIED FROM ONE COLLEGE TO ANOTHER AND SOMETIMES EVEN WITHIN THE SAME COLLEGE.

FACULTY MEMBERS ARE THE BACKBONE OF THIS DISTRICT.

IT'S REGRETTABLE THE FACULTY HAS TAKEN SUCH A FIRM POSITION IN OPPOSITION TO THE FUTURE WE ARE ASKING TO BE BUILT FOR OUR STUDENTS, OUR EMPLOYEES AND OUR COMMUNITY.

WE HOPE AS THE IMPLEMENTATION PLANS MOVE FORWARD THAT THE FACULTY WILL WORK WITH US TO BUILD AN EVEN BETTER D.C.C.C.D.

THAT'S A STATEMENT FOR THE RECORD.

THANK YOU.

ANY QUESTIONS OR COMMENTS FROM TRUSTEES? THEN WE WILL MOVE ONTO -- YES?

>> C. COMPTON: ALL THE COMMENTS I WOULD MAKE IS THAT I DIDN'T AGREE UPON THIS STATEMENT AND I HAVE NO POSITION ON THIS ISSUE.

>> CHAIR D. FLORES: SO NOTED.

THANK YOU.

[6. Opportunity for Members of the Board and Chancellor to Declare Conflicts of Interest Specific to this Agenda]

COMMITTEE REPORTS ARE INFORMATIVE ONLY AND THEY ARE IN YOUR BOARD AGENDA.

IS THERE ANY CONFLICT OF INTEREST BY ANY BOARD MEMBER OR

[7. Consent Agenda]

CHANCELLOR TO DECLARE SPECIFIC TO ITEMS ON THIS AGENDA? IF NOT, WE WILL MOVE TO THE CONSENT AGENDA.

I WILL ENTERTAIN A MOTION TO APPROVE SO THAT WE CAN THEN -- MOTION AND A SECOND FOR CONSENT AGENDA ITEM 7A, 1, 2, B, 1, 2, C, 1 AND 3.

>> SO MOVED.

>> D. ZIMMERMANN: QUESTION?

>> CHAIR D. FLORES: WE HAVE A MOTION AND SECOND.

DISCUSSION?

>> D. ZIMMERMANN: YES, 7B-1 IS WHERE I START.

>> CHAIR D. FLORES: COULD YOU PULL THE MICROPHONE CLOSER? THANK YOU.

>> D. ZIMMERMANN: YES.

7B-1.

THIS ONE, IT TALKS ABOUT THE OFFICE OF THE INSTRUCTIONAL EQUITY.

WHAT IS THAT? WHO IS THAT?

>> THE OFFICE OF INSTITUTIONAL EQUITY.

AND THEY HAVE OVERSIGHT OVER COMPLIANCE, TITLE IX, A.D.A.

AND VETERANS AFFAIRS.

WE CREATED IT IN 2016.

>> D. ZIMMERMANN: OKAY, SO WE ALREADY HAVE SOMEBODY INVOLVED IN A.D.A.

>> YES, SHE PRESENTED WITH ME LAST MONTH WHEN WE PRESENTED THE ACCESSIBILITY POLICY.

LASHAWN GRANT.

>> D. ZIMMERMANN: IF I MIGHT, 7C, 1, 2, AND 3.

I HAD CONCERNS ABOUT INSTALLING TREES.

I DON'T UNDERSTAND ABOUT INSTALLING TREES.

>> CHAIR D. FLORES: MR. ROBERTSON, COULD YOU SPEAK TO THAT?

>> YEAH, PROBABLY, DR. THIELER IS HERE.

>> SO ON THIS PROJECT, WHEN THEY APPROVED THE PROJECT WE REMOVE TREES.

SO WE ARE ACTUALLY JUST REPLACING THE TREES WE REMOVED.

SUSTAINABILITY CAMPUS.

ALSO WE ARE CAMPUS U.S.A. SO WE HAVE OUTLINES.

>> D. ZIMMERMANN: OKAY, SO AT THIS POINT, WE ARE LOOKING AT

[00:40:03]

AN ARCHITECT.

THE NEXT ONE DOWN I THE 7-2.

>> THAT WAS ORIGINAL ARCHITECT.

THERE WAS NO CHANGE.

THAT COST REMAINED THE SAME.

>> D. ZIMMERMANN: WE ARE SEEING IT AGAIN? SO IT WORKS OUT TO BE $603,000 FOR A STORE ROOM?

>> THAT'S CORRECT.

MOST OF THAT WAS DUE TO CONCRETE INCREASE IN COSTS.

>> D. ZIMMERMANN: OKAY.

SO THERE WAS NO ADDED INCREASE FOR THE ARCHITECT?

>> THERE WAS NOT.

IT WAS ALL IN THE MATERIALS AND THERE WAS A CHAIN LINK FENCE ORIGINALLY PLANNED AND THAT BECAME A BRICK FENCE.

>> D. ZIMMERMANN: OKAY, I WAS A LITTLE TAKEN A BACK FOR A STORE ROOM.

>> IT'S ACTUALLY STORAGE AREA.

>> D. ZIMMERMANN: RIGHT.

$600,000 FOR A STORE ROOM.

>> 620 SQUARE FEET.

>> D. ZIMMERMANN: I WAS SURPRISED AT THAT PRICE.

ALSO, WHILE I'VE GOT YOU.

THE THIRD ONE IN THE LINE I THE APPROVAL OF AREEMENT FOR STUCCO, PAINT AND RENOVATION.

WHO WAS THE CONTRACTOR WHO TOOK CARE OF THE FIRST PART OF THAT? BECAUSE THE PAINTING HAS ALREADY BEEN DONE.

>> THAT WAS THE L.N.C. THAT TOOK CARE OF THAT.

MY UNDERSTANDING IS WHEN THIS PROJECT CAME ABOUT, THEY DID NOT INCORPORATE CHANGING THE PAINT.

THEY HAD A FEW BUILDINGS THEY WERE GOING TO PAINT THE SAME COLOR WHICH WAS THE OFF-WHITE.

THERE WAS A CHANGE IN OVERALL COLOR OR SCHEME OF THE COLLAGE.

-- COLLEGE.

SO THAT WAS AN INCREASE IN COST FOR THE PAINT BUT ALSO LETTERING AROUND THE BUILDING.

>> D. ZIMMERMANN: IT TALKED ABOUT SHEET METAL FRAMING?

>> IT WAS PART OF THE FRAMING UNDER THE ROOF LINE AND STUCCO OF THE BUILDING.

THEY HAD TO REPLACE SOME OF THAT.

>> D. ZIMMERMANN: OKAY.

IT LOOKS LIKE THAT GOT INTO AN EXTENSIVE PROJECT REAL FAST.

>> THOSE WERE UNFORESEEN CHANGES ONCE THEY GOT INTO IT.

>> D. ZIMMERMANN: THAT'S ANOTHER $622,000.

OKAY, THANK YOU.

>> CHAIR D. FLORES: ANY OTHER QUESTIONS, TRUSTEE ZIMMERMANN?

>> D. ZIMMERMANN: NOT ON THAT ONE.

>> CHAIR D. FLORES: YES, TRUSTEE COMPTON?

>> C. COMPTON: ON 7C, DID YOU SAY IN THAT MOTION APPROVING 7C 1-3 OR 1 AND 3?

>> CHAIR D. FLORES: I'M NOT SURE.

I HAVE IT WRITTEN DOWN ON HERE, MY NOTES 1 THROUGH 3.

>> C. COMPTON: I WAS LOOKING AT 2 AND 3.

THE DETAILS IT SAYS THESE ITEMS ARE IN THE BUDGET BID, SO WHEN THE MEETING IS OVER, BECAUSE I LOOKED AND I DIDN'T SEE ANY.

>> C.

>> CHAIR D. FLORES: I CAN'T HEAR YOU, MR. ROBERTSON, IF YOU COULD GO TO THE MICROPHONE, PLEASE.

>> THIS IS THE '17-'18 BUDGET BOOK.

IT'S THE PREVIOUS BUDGET BOOK, WE WILL WORK WITH YOU AND SHOW YOU.

>> C. COMPTON: ARE THESE CONTRACTS BEING INCREASED?

>> YES.

>> C. COMPTON: WILL THEY APPEAR HERE AT SOME POINT?

>> NO.

THEY WILL SHOW UP -- WE ARE COMING BACK TO THEM NOW TO THE BOARD TO APPROVE THEM, SO WE DON'T NEED TO APPROVE THEM IN THE BUDGET BOOK ALSO.

>> C. COMPTON: NO, I DON'T MEAN APPROVE THEM IN HERE, BUT WILL THEY BE REFLECTED IN HERE?

>> WE CAN.

I WILL BE HONEST WITH YOU, WE HADN'T THOUGHT OF DOING THAT BECAUSE WE HADN'T REVISED THAT, BUT THAT COULD BE ONE OF THE THINGS WE COULD DO, YEAH.

THESE ARE NEW BECAUSE OF THE SIGNATORY PERCENTAGES THAT WE HAVE.

SO NOW THAT WE HAVE A FEW OF THESE THAT MIGHT BE A GOOD IDEA THAT WE COULD UPDATE THOSE, WHEN WE DO AN UPDATE TO THAT.

>> C. COMPTON: THIS IS WHAT YOU ALL GAVE US.

SO IF SOMETHING IS INCREASED, THIS IS OUR ONLY WAY OF SEEING THEM AND KEEPING UP WITH THEM AND KNOWING.

WELL, A RECORD IN ONE PLACE IS WHAT I'M GETTING AT.

>> SOUNDS GOOD.

THIS IS REFLECTING THE NEW

[00:45:02]

BOARD POLICY IF THE CHANGE IS MORE THAN 10% WE COME BACK TO THE BOARD.

>> C. COMPTON: YEAH, I GOT THAT.

BUT IT'S SOMETHING THAT'S NOT REFLECTED OUTSIDE OF HERE.

>>

>> CHAIR D. FLORES: THE BOARD NEEDS TO HAVE AN EASILY ACCESSIBLE ELECTRONIC COPY REGARDLESS, BECAUSE IF WE MAKE CHANGES LIKE THIS, IT WILL BE DIFFERENT TO GET IT PRINTED EACH AND EVERY TIME.

SO IF YOU ARE ALL OKAY WITH THAT.

>> C. COMPTON: ONE OF THE THINGS, TOO, AND I DON'T KNOW IF I MENTIONED IT TO YOU OR THE DIRECTOR, BUT ONE OF THE THINGS I WANTED IN TERMS OF "DATA" IF WE WANT TO KNOW SOMETHING ABOUT ONE COMPANY, THAT WE COULD PUT THAT COMPANY IN AND DO A SEARCH AND EVERY TRANSACTION THAT WE HAVE HAD AND WHAT IT WAS WOULD COME UP SO WE CAN TAKE A LOOK AT THAT.

>> WE CAN'T DO THAT NOW.

BUT WHAT WE ARE WORKING IN.

>> IT'S SOMETHING TEY ARE WORKING ON.

>> WITH THE NEW E-PROCUREMENT, WE WOULD HAVE TO DO SOME TRAINING BUT WE COULD DO SOME TRAINING.

>> BUT THAT WOULD BE GOOD TO HAVE.

IF WE HAD A FEATURE LIKE THAT, THEN I COULD HAVE LOOKED UP THE COMPANY THAT I WAS INQUIRING ABOUT TO SEE WHAT OUR TRANSACTIONS WERE AND WHAT WE PAID THEM.

THANK YOU.

>> CHAIR D. FLORES: THANK YOU.

ANY OTHER QUESTIONS OR COMMENTS ON THE CONSENT AGENDA? IF NOT, ALL IN FAVOR OF APPROVING 7A1-2, B1, 2, C, 1-3 SIGNIFY BY SAYING AYE.

ANY OPPOSED?

[1) Approval of Comprehensive Annual Financial Report (CAFR) for the District and Richland Collegiate High School and Single Audit Report of Federal and State Awards together with Reports of Independent Auditors, for the Fiscal Years Ended August 31, 2018 and 2017]

ANY ASTENTION? THANK YOU.

WE WILL CONSIDER D-1.

AFTER THE WORK SESSIONS, TE COMMITTEE MEETINGS WERE OVER WITH, WENDLEN.

>> THANK YOU, MADAM CHAIR.

WE ONLY HAD TWO MEMBERS OF THE AUDIT COMMITTEE WITH THE ABSENCE OF TRUSTEE WILLIAMS SO IT WAS AN UNEXPECTED SITUATION.

I HAVE LOOKED AT BOARD POLICY AND STATE LAW SINCE THAT MEETING.

BOARD POLICY DOESN'T REQUIRE A RECOMMENDATION ON THE ANNUAL REPORT, IT MERELY SAYS THE AUDIT COMMITTEE SHALL REVIEW, IT'S DOESN'T REQUIRE RECOMMENDATION.

THAT'S A VESTAGE OF OUR POLICY.

MORE IMPORTANTLY, STATE AND FEDERAL LAW REQUIRE THIS BODY TO ANNUALLY APPROVE AND SUBMIT IT ON OR BEFORE JANUARY 1ST OF THE YEAR TO THE STATE.

I'M HERE TO TELL YOU, ALTHOUGH THERE COULD NOT BE A CONSENSUS ACHIEVED BECAUSE THERE WERE TWO MEMBERS OF THE AUDIT COMMITTEE, THEY DIDN'T TAKE A FORMAL VOTE, IT WOULD BE OF NO MOMENT BECAUSE THE STATE LAW AND FEDERAL LAW SUPERSEDE OUR LOCAL POLICY AND YOU ARE REQUIRED TO APPROVE ANNUALLY AN AUDITED FINANCIAL STATEMENT PRESENTED THANKFULLY, OR FORTUNATELY TO ALL FIVE OF YOU DURING THE AUDIT COMMITTEE METING TODAY, IT WOULD BE MY OPINION THE BOARD COULD PROCEED TO TAKE A VOTE ON THAT AUDIT WITHOUT A FORMAL RECOMMENDATION FROM THE AUDIT COMMITTEE, SINCE THAT'S NOT REQUIRED BY BOARD POLICY OR STATE LAW AND WAS NOT ACHIEVABLE TODAY.

>> CHAIR D. FLORES: IF YOU COULD PLEASE MAKE THAT POLICY YOU ARE REFERRING TO AVAILABLE TO THE BOARD AFTER THE BOARD MEETING?

>> ABSOLUTELY, YEAH.

IT'S THE BOARD POLICY ON ADVISORY COMMITTEES THAT THIS BOARD APPROVED SEVERAL MONTHS AGO.

AND I CAN'T CALL IT OUT, I CAN PULL IT UP.

>> CHAIR D. FLORES: NO, BUT A HARD COPY AFTER THE FACT.

WITH THAT BEING SAID, I WILL ENTERTAIN A MOTION, A SECOND AND THEN DISCUSSION.

TO APPROVE ITEM B-1.

WHICH WAS COMPREHENSIVE ANNUAL AUDIT REPORT.

>> M. BRAVO: SO MOVED.

>> SECOND.

>> CHAIR D. FLORES: DISCUSSION?

>> D. ZIMMERMANN: YES.

AT THE POINT THAT WE SPOKE TO THE FOLKS FROM THE AUDIT FIRM, THE IDEA THAT BEING A DRAFT WAS NOT A PROBLEM TO THE AUDIT COMPANY.

IT WORRIES ME WE ARE A DRAFT AND WE ARE APPROVING IT WITH IT BEING STAMPED ALL OVER IT "DRAFT".

[00:50:07]

IF GRANT THORNTON IS GOING TO BE ON VIDEO SAYING IT IS WHAT IT IS AND THAT THE CHANGES THEY WILL INCORPORATE ARE WHAT WE SPOKE ABOUT, THEN I FEEL A LITTLE MORE COMFORTABLE WITH IT, WITH GRANT THORNTON BEING THE AUTHORITY ON THE DRAFT AUDIT.

AGAIN, IF IT'S ALWAYS SAID DRAFT AND WE HAVE ALWAYS APPROVED A DRAFT, THEN I WILL GO FORWARD WITH IT.

BUT IT CONCERNS ME BECAUSE WE KNEW THERE WERE THINGS THAT WERE OFF THAT WEREN'T INCLUDED EVEN IN THE PAGES THAT WE HAD TO LOOK AT FOR A DRAFT.

>> CHAIR D. FLORES: TRUSTEE ZIMMERMANN, THAT'S WHY, BECAUSE I HAD THAT SAME CONCERN AND QUESTION.

BUT THAT'S ALSO WHY I SPECIFICALLY ASKED MR. CONNOLLY, IF HE WAS ASSURING THE BOARD THAT WHAT WAS PRESENTED WAS A DRAFT AND I UNDERSTAND THAT'S HOW IT HAS TO BE PRESENTED BEFORE THE BOARD, IF HE WAS ASSURING US, IT WAS COMPLETE, ACCURATE.

THERE WAS NO, IN TERMS OF OUR FINANCIAL POSITION, AUDIT ITEMS LOOKED AT, ETC., WERE SOUND AND SOLID.

AND HE MADE THAT ASSURANCE IN THE FINANCE COMMITTEE MEETING.

MR. ROBERTSON, IF YOU COULD PLEASE AGAIN EXPLAIN WHY DAFT IS ON THE AUDIT REPORT.

AND IF A SUMMARY OF HIS STATEMENT COULD BE INCLUDED IN THE RECORD OF THIS MEETING.

>> WE HAVE ALWAYS PUT DRAFT ON THE CPY OF THE ANNUAL FINANCIAL REPORT UNTIL APPROVED BY THE BOARD, PARTLY BECAUSE IT IS NOT A DOCUMENT FOR PUBLICATION, IT'S A DOCUMENT FOR REVIEW BY THIS BOARD.

AND ONCE THE BOARD HAS APPROVED IT, THEN IT BECOMES THE PUBLIC DOCUMENT WE MAIL OUT AND SUBMIT TO BOTH FEDERAL AND STATE AGENCIES.

>> CHAIR D. FLORES: ANY QUESTIONS REGARDING THAT STATEMENT FROM MR. ROBERTSON? YES, TRUSTEE COMPTON?

>> C. COMPTON: MY POSITION REMAINS THE SAME, BASED ON THE FACT THERE ARE STILL CORRECTIONS OR INFORMATION THAT NEEDS TO BE INSERTED INTO THAT REPORT AND IT WAS GIVEN TO US IN 2-3 DOCUMENTS AND NOT ONE DOCUMENT PUT TOGETHER.

AND I DON'T FEEL COMFORTABLE, NOR DO I THINK IT'S RESPONSIBLE TO VOTE TO APPROVE SOMETHING THAT I'M NOT SURE IS CORRECT AND THAT I CAN READ IN CONTEXT BEFORE IT GOES OUT TO THE PUBLIC.

>> CHAIR D. FLORES: ANY OTHER QUESTIONS OR COMMENTS?

>> ARE THERE ANY ADDITIONAL ANTICIPATED CHANGES IN THAT DRAFT DOCUMENT THAT YOU CAN SHARE WITH US? AND IF THERE ARE, BE SURE WE HAVE FORMAL NOTICE OF THAT?

>> WHAT WE HAVE DONE IS I THERE IS ANYTHING THAT WOULD CHANGE IN THE REPORT WE WOULD BRING IT BACK.

WE HAVE NEVER HAD TO DO THAT SINCE I'VE BEEN HERE IN DALLAS AND QUITE FRANKLY I HAVE NEVER HAD TO DO THAT IN 20 YEARS OF DOING THE SAME PROCESS IN ANY OTHER COMMUNITY COLLEGE.

WE GET THOSE NUMBERS RIGHT BEFORE WE BRING IT INTO THE DRAFT VERSION BUT ALL IT'S DONE AFTER THAT IS CLEAN UP, QUITE FRANKLY, WE MAY CHANGE AN "A" TO AN "AN".

MAYBE SMALL THINGS LIKE THAT, OR THE GRAPHS DON'T LOOK RIGHT.

BUT PRETTY MUCH DRESSY THINGS AFTER THIS POINT.

>> CHAIR D. FLORES: ANY OTHER QUESTIONS, DISCUSSION? COMMENTS? IF NOT, THEN ALL THOSE IN FAVOR SIGNIFY BY SAYING AYE? ANY OPPOSED? NO.

THREE AYE AND TWO OPPOSED.

[8. Individual Items (Individual Agenda items may be approved by a single motion and vote or, alternatively, upon request of a Trustee(s); any listed item can be removed and considered individually.)]

ITEM 8.

THE INDIVIDUAL ITEMS. A1 AND 2, B 1-4 AND C REQUIRES NO ACTION.

8A, 1 AND 2, 8B, 1-4.

I WILL ENTERTAIN A MOTION TO APPROVE.

>> C. COMPTON: I WOULD LIKE TO VOTE ON 82 INDIVIDUALLY.

>> CHAIR D. FLORES: 82 AND 3 SEPARATELY?

>> C. COMPTON: YES.

[00:55:01]

>> CHAIR D. FLORES: OKAY, THERE'S NO 83.

SORRY, I DIDN'T HEAR YOU.

>> C. COMPTON: I WOULD LIKE TO VOTE ON THAT INDIVIDUALLY.

>> C. COMPTON: ANY OTHERS YOU WANT TO CONSIDER INDIVIDUALLY? IF NOT, I WILL ENTERTAIN A MOTION TO APPROVE ITEMS 8A1, B1-4.

>> D. ZIMMERMANN: SO MOVED.

>> SECOND.

>> CHAIR D. FLORES: ANY DISCUSSION?

>> D. ZIMMERMANN: YES.

8A, 1 AND 2?

>> CHAIR D. FLORES: YES.

>> D. ZIMMERMANN: THE APPROVAL FOR THE GENERATOR FOR BROOKHAVEN COLLEGE, IS THAT GOING TO BE A GENERATOR FOR I.T. ONLY? OR IS THAT GOING TO ALSO ADD TO THE EMERGENCY PREPAREDNESS FOR THE ENTIRE COLLEGE?

>> THE SHORT ANSWER IT'S PRIMARILY FOR THE I.T.

DEPARTMENT.

IT'S NOT A LARGE ENOUGH GENERATOR TO COVER THE ENTIRE COLLEGE.

AS THE WRITE-UP SAID WE ENCOUNTERED THREE SIGNIFICANT OUTAGES IN 2016 AND WE HAD DAMAGE TO OUR I.T. DEPARTMENT, OUR SERVERS THAT SERVE STUDENTS AND STAFF SO WE INITIATED THIS PROJECT TO MAKE SURE THOSE SERVERS WOULD BE PROTECTED IN THE EVENT WE HAVE ANOTHER SIGNIFICANT OUTAGE, IF IT'S NOT LARGE ENOUGH TO COVER THE ENTIRE COLLEGE.

>> NOT THE ENTIRE COLLEGE BUT LOTS OF TIMES FOR VERY SMALL INCREMENTS YOU COULD ADD COVERAGE WITHOUT INCURRING INCREDIBLE COSTS.

LOTS OF TIMES, IT'S NOT LIKE WE WON'T BE USING ELECTRICITY ANY TIME SOON.

A LITTLE EXTRA FOR THE SAME BANG FOR THE BUCK.

IT'S ONE OF THOSE THINGS.

IF IT'S JUST THE I.T.

>> IT'S JUST THE SERVERS FOR THE COLLEGE.

IT'S NOT THAT LARGE OF A GENERATOR.

THE ACTUAL GENERATOR IS ABOUT $65,000.

>> CHAIR D. FLORES: IT WILL BE CONSIDERED SEPARATELY.

ANY OTHER QUESTIONS OR DISCUSSION? IF NOT, ALL THOSE IN FAVOR OF APPROVING ITEMS 8A1, B-1-4, SIGNIFY BY SAYING AYE.

ANY OPPOSED? ANY ABSTENTIONS? THANK YOU.

[2) Approval to Engage Change Management Consulting Services, Boston Consulting Group, Districtwide, Best Proposal, Funding Source: Annual Operating Budget]

MS. MOLINA, ARE YOU GETTING WHO IS SAYING MOVED AND SECOND? I WILL ENTERTAIN A MOTION TO APPROVE ITEM 8A-2.

>> MOVE APPROVAL.

>> SECOND.

>> CHAIR D. FLORES: DISCUSSION?

>> C. COMPTON: 8A-2.

I WILL NOT BE SUPPORTING THIS ITEM BASED ON THE PROCESS.

>> CHAIR D. FLORES: COULD YOU MOVE THE MICROPHONE CLOSER, TRUSTEE?

>> C. COMPTON: I WON'T BE MOVING TO APPROVE BASED ON THE PROCESS THAT WAS USED, REQUEST FOR PROPOSAL WENT OUT.

THERE WAS NO PRE-PROPOSAL CONFERENCE.

AND ALSO THERE WERE NO DISCLOSURES MADE AS TO RELATIONSHIP AND WORKING RELATIONSHIPS AND PARTICIPATION BY THE COMPANY, THAT'S BEING AWARDED THIS CONTRACT.

THERE WERE NO DISCLOSURES MADE IN THAT DOCUMENT, ACCORDING TO YOU, FOR ANYBODY WHO WANTED TO MAKE A PROPOSAL.

AND WHAT JUMPS OUT IN MY MIND IS CONFLICT OF INTEREST.

I CAN'T SUPPORT THIS, I THINK IT'S A VIOLATION OF FAIR AND EQUITABLE PURCHASING POLICIES.

>> CHAIR D. FLORES: DID YOU WANT TO RESPOND TO THAT COMMENT MR. ROBERTSON? ANY OTHER QUESTION OR COMMENT?

>> D. ZIMMERMANN: I BELIEVE IN THE WORK SESSION I MENTIONED ABOUT IN-HOUSE TALENT.

TO ME, IT SEEMS THAT, I'M CONCERNED ABOUT LOSING WHO WE ARE BY BRINGING IN OUTSIDE PEOPLE TO SIMPLY MOVE THE CHESS PIECES AOUND ON THE BOARD.

I'M VERY CONCERNED THAT JUST IN CHANGE, THERE'S ALL SORTS OF WAYS TO CHANGE AND I'M CONCERNED WITH THE CONCERNS OF OUR FACULTY THAT MAYBE THE

[01:00:02]

CHANGES WE ARE GOING FOR MIGHT BE, MAYBE NOT IN SUCH A POSITIVE DIRECTION.

I DON'T KOW IF THEY UNDERSTOOD WHO MIGHT BE TAKING ON THIS NEW CHANGE JOB IF THAT'S WHERE THEIR CONCERNS BASICALLY CAME FROM.

I THINK IN THE MEETINGS FOR ALL OF THAT, WE SPOKE ABOUT IT TAKING A WHILE.

IT WASN'T GOING TO BE SOMETHING THAT HAPPENED OVERNIGHT.

BUT IT SEEMS AS IF THERE'S CONCERN AND IF THE INSTRUCTIONS, IF THE FACULTY THEMSELVES ARE CONCERNED, THEN I'M CONCERNED TOO, ABOUT THE $1.5 MILLION AND WE ARE LOOKING AT THAT FOR AN OVER THREE-YEAR PERIOD? THAT'S AN AWFUL LOT OF MONEY TO SPEND ON SOMETHING THAT MAY OR MAY NOT HELP US IN A POSITIVE DIRECTION.

I JUST DON'T WANT US TO CHANGE UNTIL WE AREN'T OURSELVES ANY MORE.

I UNDERSTAND ABOUT GETTING BACK TO MAKE SURE WE CAN PAY OUR BILLS THROUGH THE TXAS LEGISLATURE, I UNDERSTAND THAT.

I THINK ALL THE INSTRUCTORS WE HAVE, THERE'S NOT A SINGLE ONE THAT DOESN'T UNDERSTAND THAT.

BUT I'M CONCERNED ABOUT CHANGE FOR CHANGE'S SAKE.

MOVING TOO QUICKLY AND THEN HAVING TO CHANGE BACK OR FIGURE OUT WHAT WE ARE DOING IF WE ARE ONLY DOING CHANGE FOR A YEAR FOR A CONTRACT THAT TOO IS A CONCERN FOR ME.

BECAUSE IF WE CHANGE A LITTLE BIT IN ONE DIRECTION AND THEN DECIDE, NO, WAIT A MINUTE, WE ARE GOING IN ITS WRONG DIRECTION, IT'S HARD TO MOVE THE SHIP YET AGAIN IN A DIFFERENT DIRECTION.

THERE ARE THINGS THAT WOULD BE LOOKED AT, WHAT WE ARE TRYING TO DO AND BUILD.

BUT TO ME IT SEEMS IF WE HAD IN-HOUSE TALENT DOING THIS, WE COULD MOVE IN PERHAPS A MORE COHESIVE MANNER.

BECAUSE I DON'T KNOW WHAT THESE OUTSIDE PEOPLE ARE GOING TO COME IN AND SAY WE HAVE TO FIX.

WE HAVE TO CHANGE.

SO I'M CONCERNED FOR THE SIMPLE FACT THAT CHANGE FOR CHANGE'S SAKE AD THE DOLLAR AMOUNT WAS SOMETHING ELSE I HAD CONCERNS WITH.

>> CHAIR D. FLORES: THANK YOU, TRUSTEE ZIMMERMANN.

AND AGAIN, SOMETHING NEEDS TO BE DIFFERENT BECAUSE WE CAN'T BE RANKING THE BOTTOM FIFTH AND NOT TOO MUCH HIGHER FOR THE OTHER TWO COLLEGES IN TERMS OF PERFORMANCE METRICS, DEFINED BY THE COORDINATING BOARD AND ALSO TIED TO FUNDING.

THAT, PLUS MANY OTHER ASPECTS.

SO I THINK TIS IS A POSITIVE MOVE.

THIS IS DIRECTION WE HAVE ASKED THE CHANCELLOR TO MOVE IN, AS A BOARD.

YES?

>> I'LL BE SUPPORTING THIS PROPOSAL.

HAVING SPENT OVER 30 YEARS IN A CORPORATION AND SEEING IT TRANSITION FROM ESSENTIALLY BLUE LINES AND PENS TO A SOPHISTICATED CMPUTER SYSTEM, CHANGE IS A HARD THING TO MAKE.

AND SOMETIMES WE RESIST THAT CHANGE.

THE PEOPLE WHO ARE IN THE PROCESS OF MAKING THE CHANGE LOOK AT IT WITH FEAR.

AND IT TAKES AN OUTSIDE GROUP OR SOMEONE WHO IS NOT INVOLVED IN THE DAY-TO-DAY TO UNDERSTAND WHERE THE EFFICIENCIES NEED TO BE MADE.

I'M SURE WE HAVE PEOPLE WHO WORK FOR THE DISTRICT WHO ARE QUALIFIED TO MAKE RECOMMENDATIONS AND OFFER CHANGES BUT THIS IS A HUGE DISTRICT.

THIS IS NOT SOMETHING YOU COULD PUT TOGETHER A TASK FORCE OF 20 PEOPLE AND SAY LET'S COME UP WITH AN IDEA AND MAKE IT WORK.

WE HAVE A LOT OF MOVING PARTS.

WE HAVE SEVEN COLLEGES THAT NEED TO BE ON THE SAME PAGE IN ALL AREAS FROM SECURITY TO SCHEDULING TO WORKLOAD.

IT'S A HUGE PROJECT.

IF IT WERE A CORPORATION, PROBABLY ONE OF THE LARGEST IN THE CITY.

SO I'LL SUPPORT THIS BECAUSE I THINK WE NEED FRESH IDEAS AND NEW PERSPECTIVES ON THE THINGS THAT NEED TO BE CHANGED TO HELP IMPROVE OUR POSITION OF STUDENT SUCCESS, FACULTY SUCCESS, COMMUNITY INVOLVEMENT AND ALL OF THE THINGS THAT ARE THE PILLAR OF OUR MISSION.

SO I WILL BE IN SUPPORT OF THIS.

THANK YOU.

>> CHAIR D. FLORES: YES, TRUSTEE COMPTON?

>> C. COMPTON: CAN I MAKE ONE LAST COMMENT? IT'S AMAZING TO ME THAT WE SIT HERE AS A PUBLIC BOARD, PUBLIC INSTITUTION, SUPPORTED BY TAX DOLLARS AND CHANGE IS NOT THE

[01:05:03]

ISSUE FOR ME.

ONE OF THE THINGS THAT WE STAND ON IS A FAIR AND EQUAL PROCESS.

FOR ALL BUSINESSES.

BECAUSE EVERYBODY CONTRIBUTES TO OUR TAX BASE.

AND TO SUPPORT SOMETHING THAT CLEARLY VIOLATED THAT CONCEPT IS AMAZING TO ME.

AND THAT'S ALL I GOT TO SAY ABOUT IT.

>> CHAIR D. FLORES: THANK YOU, TRUSTEE COMPTON.

ALL THOSE IN FAVOR OF APPROVING ITEM 8A-2, SIGNIFY BY SAYING AYE.

ALL OPPOSED? NO.

THANK YOU VERY MUCH.

MR. ROBERTSON, IF YOU COULD PROVIDE A CHEAT SHEET, SO TO SPEAK, TO THE BOARD, ON THE STEPS THAT ARE FOLLOWED, THE LEGAL REQUIREMENTS THAT ARE FULFILLED ON THE R.F.Q. PROCESS AND ON THE R.F.P. PROCESS.

ONE OF THE ITEMS WE NEED TO BE INFORMED ON, IS IT REQUIRED WE DISCLOSE PRIOR INVOLVEMENT WITH D.C.C.C.D. ON THESE NOTICES FOR THE PROPOSALS.

ANYTHING ELSE ANYONE WOULD LIKE ANSWERED?

>> C. COMPTON: WHILE YOU ARE ASKING ABOUT THAT, MY POINT IS, ON THIS PARTICULAR PROJECT, AND THE INPUT FROM THAT COMPANY AND THE PARTICIPATION AND THE WHOLE CONCEPT AND THE DIRECTION THAT YOU ARE MOVING TO, THAT GAVE THAT COMPANY A LEG-UP.

OVER ANYBODY ELSE WHO WANTED TO SUBMIT A PROPOSAL.

AND THAT'S WHY I'M SAYING IT SHOULD HAVE BEEN DISCLOSED.

IF YOU WANT TO HAVE A COMPETITIVE PROCESS BECAUSE THE OTHER COMPANIES, IF THEY HAD KNOWN THAT, THEY MAY NOT HAVE SUBMITTED A PROPOSAL.

AND THESE COMPANIES, I DON'T CARE WHO IT IS, OR WHAT IT IS.

THEY EXPEND TIME AND ENERGY.

AND WORK HOURS FOR THEIR EMPLOYEES TO PUT THESE DOCUMENTS TOGETHER.

A PUBLIC INSTITUTION TAX SUPPORTED, THEY SHOULD EXPECT TO BE ON A LEVEL PLAYING FIELD.

WITH ALL PROPOSALS, PERIOD.

>> CHAIR D. FLORES: THANK US, TRUSTEE COMPTON.

THANK YOU, MR. ROBERTSON FOR THE INFORMATION YOU WILL BE PROVIDING TO US.

DOES ANYONE HAVE QUESTIONS ON POLICY ITEMS FIRST READING, OR THE INFORMATIVE REPORTS? ANY QUESTIONS? CHANCELLOR, I DON'T BELIEVE THERE'S A NEED FOR ANOTHER EXECUTIVE SESSION, IS THAT CORRECT?

>> THAT'S CORRECT.

>> CHAIR D. FLORES: WELL, BEFORE WE ADJOURN, ON BEHALF OF THE BOARD RECEIVE OUR BEST WISHES FOR A GREAT HOLIDAY SEASON, MERRY CHRISTMAS, JESUS'S BIRTHDAY.

THOSE TRAVELING, WE HOPE YOU HAVE SAFE TRAVEL, FOR THOSE STAYING HERE, HALLELUJAH BECAUSE I AM TOO.

YES, MS. MOLINA?

>>

>> CHAIR D. FLORES: WITH THAT, I WILL ENTERTAIN A MOTION, I KNOW YOU HATE TO DO THIS, BUT TO ADJOURN.

SECOND?
